1. Acceptance of Terms

By accessing or using the services provided by Helios ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

These Terms apply to all visitors, users, and others who access or use our website, digital production services, or any related offerings.

2. Description of Services

Helios provides digital production and advertising services, including but not limited to:

• Strategy & Growth Planning;
• Short-form Video Scripting (Reels / Shorts);
• Video Editing & Post-Production;
• Visual Concept & Feed Design;
• Viral Content Creation;
• International Copywriting.

Specific deliverables, timelines, and pricing for each project are defined in separate statements of work or service agreements.

3. User Obligations

You agree to:

• Provide accurate, current, and complete information when requesting services;
• Use our services only for lawful purposes and in compliance with applicable laws;
• Not interfere with or disrupt the integrity or performance of our website or services;
• Not attempt to gain unauthorized access to our systems or user data;
• Respect intellectual property rights and not submit content that infringes third-party rights.

4. Intellectual Property

Our Content: All content provided by Helios, including logos, designs, templates, and proprietary methodologies, remains our intellectual property unless explicitly transferred in writing.

Your Content: You retain ownership of materials you provide to us. By submitting content, you grant Helios a limited, non-exclusive license to use, modify, and display such content solely for the purpose of delivering the agreed services.

Deliverables: Upon full payment, Helios assigns to you the rights to final delivered assets (e.g., edited videos, approved copy) for your business use. Pre-production materials, concepts, and working files remain our property unless otherwise agreed.

5. Payment Terms

Unless otherwise specified in a project agreement:

• Payment is due upon invoice receipt, typically before work commences;
• Retainer-based services are billed monthly in advance;
• Late payments may incur a 1.5% monthly interest charge;
• We reserve the right to pause or terminate services for non-payment.

All fees are stated in USD and exclude applicable taxes, which are the responsibility of the client.

6. Revisions & Approvals

Each service includes a defined number of revision rounds as specified in your project scope. Additional revisions may be billed at our standard hourly rate. Client approval at each stage is required before proceeding to the next phase of work.

7. Limitation of Liability

To the maximum extent permitted by law, Helios shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claim related to our services shall not exceed the amount you paid to us for the specific service giving rise to the claim.

We do not guarantee specific business outcomes, engagement metrics, or platform performance resulting from our services.

8. Indemnification

You agree to indemnify and hold harmless Helios, its affiliates, and team members from any claims, damages, or expenses arising from: (a) your use of our services; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

9. Termination

Either party may terminate a service agreement with written notice. Upon termination:

• You remain responsible for payment for all work completed prior to termination;
• We will deliver completed assets for which payment has been received;
• Unfinished work may be billed proportionally or at a cancellation fee as outlined in your project agreement.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in St. Louis County, Missouri.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on this page with a revised "Last updated" date. Your continued use of our services after changes constitutes acceptance of the revised Terms.
